Die Rolle
We are seeking a dynamic and experienced Senior Legal Counsel to join our team in Germany. The successful candidate will play a crucial role in managing the legal aspects of our solar project development, from land acquisition, permitting, grid connection, and construction to ongoing operations. This position requires a thorough understanding of German laws, exceptional analytical skills, and the ability to navigate complex legal landscapes independently. While this role is remote, the candidate will be expected to make frequent visits to our Leipzig office, and other travel abroad may be required from time to time.
Duties and Responsibilities
Comprehensive Legal Support: Provide proactive and strategic legal advice throughout all stages of solar PV project development and corporate business activities.
Land and Title Management: Oversee and resolve all legal matters related to land acquisition and title clearance, ensuring all properties are registered on first rank and free from encumbrances.
Debt Financing: Lead the preparation, review, and negotiation of debt financing documents, including loan agreements, security documents, and intercreditor agreements, ensuring favorable terms and compliance with regulations.
Contract Negotiation: Draft, negotiate, and manage a variety of contracts, including land use agreements, project development contracts (e.g., grid connection and municipal agreements), cooperation and joint venture agreements, share purchase agreements, as well as PPA, EPC, and O&M contracts.
Regulatory and Compliance: Provide guidance on land acquisition, permitting, project development procedures, and environmental law topics, ensuring all projects comply with German regulations.
Corporate Governance: Support corporate counsel in daily legal operations, including the incorporation and administration of subsidiaries, and the preparation of articles of association and shareholder agreements.
External Counsel Management: Coordinate and manage external legal advisors, particularly during due diligence processes and complex transactions.
Risk Mitigation: Identify potential legal risks and develop strategies to mitigate them, providing high-level strategic advice to senior management.
Legislative Monitoring: Stay updated on legislative changes and assess their impact on current and future projects, ensuring the company remains compliant and ahead of regulatory shifts.
Human Resources Support: Provide legal support on HR-related matters, including employment contracts, labor law compliance, employee relations, and dispute resolution.
Process Optimization: Oversee the contract management system, implement internal legal processes (compliance, quality control, storage, etc.), and develop templates to enhance efficiency and consistency.
Qualifikationen & Fähigkeiten
Education: Legal degree from a recognized institution and admitted to practice law in Germany (Zweites Juristisches Staatsexamen)
Experience: Minimum of 7-10 years in a similar role, with significant experience in land and title management, property development, debt financing, M&A, and commercial agreements. Experience in the renewables sector for at least 3 years is highly desirable.
Skills: Superior drafting, negotiation, and communication skills; strong analytical and problem-solving abilities.
Languages: Fluency in German and English is essential.
Attributes: High integrity, strong work ethic, and the ability to manage multiple tasks and deadlines in a fast-paced environment.
